By accessing or using Physician Signal ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Physician Signal. Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those changes.

2. Platform Description

Physician Signal is a professional review platform that enables verified healthcare industry professionals — including medical device representatives, OR staff, nurses, hospital administrators, and other clinical personnel — to share anonymous, structured evaluations of physicians based on direct professional interactions. The Platform aggregates these evaluations into Insight Scores and detailed feedback profiles to provide transparency and data-driven insights into physician performance.

3. Eligibility

To use the Platform as a contributor (reviewer), you must:

• Be at least 18 years of age.
• Be a current or former healthcare industry professional with direct clinical or professional experience working alongside physicians.
• Provide accurate information during the registration and verification process.
• Maintain only one account on the Platform.

General visitors may browse publicly available physician profiles and reviews without creating an account.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Submit false, misleading, defamatory, or fraudulent reviews.
• Include any patient-identifiable information, protected health information (PHI), or personal health details in any review or content.
• Harass, threaten, or intimidate any physician, reviewer, or other user of the Platform.
• Attempt to de-anonymize or identify other reviewers.
• Use the Platform to solicit business, advertise, or promote products or services.
• Submit reviews for physicians you have not personally worked with or observed in a professional capacity.
• Create multiple accounts, use bots, or engage in any automated data collection or scraping.
• Interfere with or disrupt the Platform's infrastructure, security, or functionality.
• Violate any applicable local, state, national, or international law or regulation.

5. Content Ownership & License

By submitting a review or any other content to the Platform, you grant Physician Signal a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, display, reproduce, modify, and distribute your content in connection with the operation of the Platform. You retain ownership of your original content but acknowledge that reviews may be displayed publicly and aggregated into physician profiles and Insight Scores.

Physician Signal reserves the right to remove, edit, or decline to publish any content that violates these Terms, contains PHI, or is otherwise deemed inappropriate at our sole discretion.

6. Privacy & Anonymity

We are committed to protecting your anonymity as a reviewer. Reviews are displayed with only your verified professional role (e.g., "Verified OR Nurse," "Verified Device Rep") and are never linked to your personal identity. 7. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. Physician Signal does not guarantee the accuracy, completeness, or reliability of any reviews, Insight Scores, or other content on the Platform.

The information on this Platform is not medical advice. Reviews represent the professional opinions of individual contributors and should not be used as the sole basis for selecting a healthcare provider. Always consult with qualified medical professionals regarding healthcare decisions.

Physician Signal is not responsible for any decisions made based on information found on the Platform.

8. Limitation of Liability

To the fullest extent permitted by law, Physician Signal, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Physician Signal has been advised of the possibility of such damages.

9. HIPAA Notice

Physician Signal is not a covered entity under the Health Insurance Portability and Accountability Act (HIPAA). However, we take the protection of health information seriously. Users are strictly prohibited from including any patient-identifiable information or protected health information (PHI) in reviews or any other content submitted to the Platform. Any content found to contain PHI will be immediately removed, and the submitting user's account may be suspended or terminated.

10. Account Termination

Physician Signal reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or the Platform, or is otherwise objectionable. You may also delete your account at any time by contacting us.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on the Platform or via email. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Dallas County, Texas.
